Gamehost Inc. (the “Company” or “Gamehost”) is incorporated in Canada under the Business Corporations Act (Alberta). The address of the Company’s registered office is Suite 2800 – 715, 5th Avenue S.W. Calgary, Alberta T2P 2X6. The Company’s activities are currently confined to the Province of Alberta, Canada. Operations include the Deerfoot Inn & Casino (“Deerfoot”), a joint venture in Calgary, Boomtown Casino in Ft. McMurray, Great Northern Casino in Grande Prairie and Service Plus Inns & Suites, also located in Grande Prairie. As a complement to the Grande Prairie hotel, the Company owns a retail complex that leases space to a pub, a full service restaurant operation and a liquor store. The Company holds a 91% controlling interest in Deerfoot and 100% of all other named operations. Gaming activities of the Company are controlled by the Alberta Gaming and Liquor Commission. Gaming activities include Company owned table games and government owned slot machines, video lottery terminals and lottery ticket outlets. Hotel activities of the Company include full and limited service hotels and banquet and convention services. Food, beverages and live entertainment are offered at each of the Company’s casino locations.
Gamehost Inc. is a high yield dividend producing company. Dividends from the company are considered ‘eligible dividends’ for Canadian tax purposes meaning they are eligible for the for the higher (45%) gross-up and tax credit as specified in Canadian Bill C-28 which was passed in 2007.
Gamehost Inc. was formed on April 30, 2010 out of a plan of arrangement (“Arrangement 2”) whose purpose was to convert the former Gamehost Income Fund (the “Fund”) to a high yield dividend paying corporation. The Fund was a publicly traded income trust and Specified Investment Flow Through (“SIFT”) entity. Arrangement 2 was primarily motivated by changes to tax legislation and limitations imposed on SIFT’s taking effect on January 1, 2011. Arrangement 2 provided for an effective and efficient method of converting from a SIFT to a corporation consistent with the SIFT Rules. Arrangement 2 included the acquisition of an additional 51% interest in Deerfoot through a debenture offering. Arrangement 2 allows for the continuation of cash distributions at the same level as the former Fund.
Gamehost Income Fund was formed on June 1, 2003 out of a plan of arrangement (“Arrangement”) which saw specific hotel and gaming assets owned by Service Plus Hospitality Ltd., then a Canadian public company, Will Inns Inc. and Boomtown Casino Ltd. purchased, through a series of reorganization transactions. The Fund began operations with Boomtown Casino in Ft. McMurray, Great Northern Casino, Service Plus Inns & Suites and a retail complex all located in Grande Prairie and a 40% ownership in Deerfoot. The Fund undertook several expansions to facilities resulting in substantial growth in profitability. The Fund paid consistent and increasing regular distributions to unitholders to the point of conversion.
